Issuance that is digital by design, not a spreadsheet kept up to date by hand.
Fund units are issued directly on the blockchain under Investre’s mandate as CSSF-authorised control agent or transfer agent, whichever the fund’s shares require. The ledger is the authoritative record of ownership, so there is no parallel register to reconcile.
ILLUSTRATIVE
Issuance first. Everything else plugs in.
Digital issuance puts the share class on-chain. Order routing, AML / KYC, settlement and safekeeping run against that same register, and the units reach distributors, investor wallets and new marketplaces from there.
Class T
1,250 UNITS
Start where the asset manager’s operations are today.
Units are issued on-chain in every model. What you choose is how the cash side works: off-chain fiat against delivery versus payment, fully digital on-chain settlement, or a hybrid of both. Changing model later does not reissue anything.
You tell us, we issue
We create and cancel tokens on your instruction. Cash is handled entirely outside the chain, the way you handle it now.
Issue against a bank payment
Tokens are issued once the money lands in the bank account. Investors pay the way they always have, and the register updates itself.
Shares and cash move together
Payment arrives on-chain in stablecoins or tokenised money market fund units, and the shares are delivered in the same movement.
Six parties become three.
A share normally reaches an investor through six regulated firms. As control agent or transfer agent, Investre performs three of those roles under one mandate.
Six firms in a line
Each one is a separate contract, a separate fee, and another set of records to reconcile.
Three, and one register
One contract for the register, and nothing in the middle left to reconcile.
Fewer firms in the chain, one version of the truth, and a shorter list of things that can go wrong.
Four things this mandate covers.
Investre acts as authorised control agent / transfer agent under Luxembourg law. The mandate covers digital issuance, the integrity of the DLT register, and the controls around both.
Native on-chain issuance
Units are issued directly on the blockchain under our control agent / transfer agent mandate, not minted as a reflection of an off-chain register.
Legal ownership on the ledger
The distributed ledger is the legally authoritative register. No parallel share register is required, which removes reconciliation by construction.
Supply integrity
We manage the issuance accounts and registers, monitor circulation, and make sure every holding wallet is AML / KYC cleared, so tokens held always match tokens issued and the number is auditable at any moment.
Settlement you choose
Off-chain fiat, fully digital on-chain, or hybrid. The issuance model does not change when the settlement model does.
Our mandate stops at the register.
Fund governance, portfolio management, regulatory reporting and investor disclosures stay with the fund, the AIFM / ManCo and the existing service providers. Our mandate is issuance, register integrity and issuance controls.
Structural friction removed, without regulatory uncertainty.
A single authoritative on-chain record makes issuance simpler, faster and easier to control. It supports atomic settlement where a strategy needs it, makes secondary market liquidity structurally viable, and stays compatible with traditional settlement for everything else.
Who carries the AML / KYC responsibility?+
Investre can take on AML / KYC responsibility itself where it provides the digital wallet, as custodian, or acts as transfer agent. In all other cases, Investre carries out AML / KYC under a contractual mandate from the fund.
How is this different from a transfer agent that keeps the original register off-chain and produces non-native tokens?+
That model keeps two records: the legal register off-chain, and a token that reflects it, which then have to be kept in step. As a digital control agent or a digital transfer agent, Investre keeps the record itself on-chain, so the register and the token are the same thing and there is nothing to reconcile.
What about our depositary and management company?+
They keep their roles. The mandate covers issuing the tokens and keeping the register, nothing else.
Which token standard do you use?+
ERC-20 where the share class carries no transfer restrictions, ERC-1400 for securities features such as partitions and forced transfers, and ERC-3643 where only verified, eligible investors may hold. Other standards where an asset or a counterparty calls for one.
How do investors pay?+
Three ways. You instruct us and cash is handled entirely off-chain, or tokens are issued on receipt of a bank payment, or payment arrives on-chain in stablecoins or tokenised money market fund units and the shares move with it. Orders often reach us as a cash amount before the unit count is known, so the order is validated on arrival and the units are issued once the price is struck and the amount confirmed.
Can we start with one share class?+
Yes, and most funds do. One share class is issued on-chain while the rest of the fund carries on as normal.
Issuance is where the register starts.
Every investor service runs against the same on-chain register, operated by the same regulated firm. So adding one does not mean connecting another system.
